CNKEYWORDS User Agreement

The CNKEYWORDS hereby reminds you (or "user") to read this CNKEYWORDS User Agreement (hereinafter referred to as "the Agreement") carefully before registering as a user to ensure that you fully understand the terms of this Agreement. Please read carefully and choose to accept or reject this Agreement. Unless you have read and accepted all terms of this Agreement, you have no right to register, log in or use the services covered by this Agreement. Your actions such as registration, login and use will be deemed as acceptance of this Agreement and that you agree to be bound by the terms of this Agreement.

This Agreement stipulates the rights and obligations of CNKEYWORDS operators (Global Tone Communication Technology Co., Ltd., "GTCOM") and users regarding CNKEYWORDS services (hereinafter referred to as the "Services”). "User" refers to any natural person, legal person or other organization that registers, logs in or uses the Services. If you are legally authorized to enter into this Agreement on behalf of a company or other legal entity, it means that you declare that you have the right to bind the entity to the terms and conditions of this Agreement. This Agreement may be updated by the CNKEYWORDS from time to time. Once the updated agreement terms are published, they will replace the original agreement terms, and we will timely publish the changes of this agreement terms on the platform interface. After the terms of the Agreement have been modified by the CNKEYWORDS, if you do not accept the modified terms, please stop using the Services provided by the CNKEYWORDS immediately, and your continued use of the Services provided by the CNKEYWORDS will be deemed as acceptance of the modified agreement.

1. Account Registration

1-1. Users are required to register a CNKEYWORDS account before using the Services. The CNKEYWORDS account should be registered with an email or mobile phone number, and users should use an email or mobile phone number that has not been bound to the CNKEYWORDS account.

1-2. When users register to use the Services, the CNKEYWORDS needs to collect personal information that can identify the users so that the CNKEYWORDS can contact the users when necessary, or provide a better user experience.

1-3. When users register to use the Services, they should have the appropriate civil capacity corresponding to the users’ behaviors as stipulated by the laws of the People's Republic of China. If the user does not have the aforementioned appropriate civil capacity, the user and the user's guardian shall bear all the consequences resulting therefrom in accordance with the law.

2. Content of Services

2-1. The specific content of the Services is provided by the CNKEYWORDS according to the actual situation. The CNKEYWORDS may change the Services it provides, and the content of its Services may be changed from time to time. Any changes to the content of the Services will be notified to users through platform announcements or notifications.

2-2. Users understand that the CNKEYWORDS only provides Services under this Agreement. Beyond that, the devices (such as personal computers, mobile phones and other devices for access to the Internet or mobile network) and the necessary fees (such as Internet fees paid for access and mobile phone fees paid for mobile network use) in connection with the relevant network services shall be borne by the users.

3. Protection of Users' Privacy

We make all endeavors to protect the User’s personal information. You can read the CNKEYWORDS Privacy Policy to understand the purpose, method and scope of our collection and use of your personal information when you use the CNKEYWORDS products; your rights to your personal information; and the security measures we take to protect information.

4. Content Specifications

4-1. The content mentioned in this article refers to any content created, uploaded, copied, published and disseminated by users during the use of the Services, including but not limited to profile photo, name, user description and other registration information and authentication materials or texts, as well as other content generated by using the account or the Services.

4-2. Users shall not use the CNKEYWORDS account or the Services to produce, upload, copy, publish, and disseminate the following content prohibited by laws, regulations and policies:

(1) The content that opposes the fundamental principles set forth in the Constitution;

(2) The content that jeopardizes national security, divulges state secrets, subverts state political power and undermines national unity;

(3) The content that damages the reputation and interests of the State;

(4) The content that distorts, defames, desecrates, or denies the deeds and spirit of heroes and martyrs, and insults, defames, or otherwise infringes upon the name, portrait, reputation, or honor of a hero or a martyr;

(5) The content that advocates terrorism or extremism, or instigates any terrorist or extremist activity;

(6) The content that incites national hatred and national discrimination and destroys national unity

(7) The content that destroys national religious policy or promotes cults and feudalistic superstitions;

(8) The content that spreads rumors, disrupts social order, or undermines social stability;

(9) The content that spreads obscenity, pornography, gambling, violence, murder or terror, or abet crimes;

(10) The content that insults or defames others or infringes upon others’ legitimate rights and interests;

(11) Other content as prohibited by laws and administrative regulations.

4-3. Users also shall not produce, copy, issue and disseminate any adverse information with the following contents by using the Services:

(1) The content that uses exaggerated titles that are seriously inconsistent with the contents;

(2) The content that hypes gossips, scandals, bad deeds, and so forth;

(3) The content that makes improper comments on natural disasters, major accidents or other disasters;

(4) The content that contains sexual innuendo, sexual provocations, and other information that easily leads to sexual fantasy;

(5) The content that shows bloodiness, horror, cruelty, and other scenes that causes physical and mental discomfort;

(6) The content that incites discrimination among communities or regions;

(7) The content that promotes indecency, vulgarity, and kitsch;

(8) The content that may induce minors to imitate unsafe behaviors, violate social morality, or induce minors to indulge in unhealthy habits; and

(9) Other contents that adversely affect network ecology.

5. Terms of Use

5-1. Any content generated by users in or through the Services does not reflect or represent, nor should it be deemed to reflect or represent the views, positions or policies of the CNKEYWORDS, for which the CNKEYWORDS assumes no responsibility.

5-2. Users shall not use the CNKEYWORDS account or the Services to conduct the following activities:

(1) Establishing false accounts in batches with technical means;

(2) Engaging in any illegal or criminal activities by using the CNKEYWORDS account or the Services;

(3) Creating, publishing, or operating or disseminating methods and tools related to the above-mentioned behaviors, whether or not these behaviors are for commercial purposes;

(4) Other behaviors that violate laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of the CNKEYWORDS or are not expressly authorized by the CNKEYWORDS.

5-3. The user shall be solely responsible for the authenticity, legality, harmlessness, accuracy and validity of the information transmitted by using the CNKEYWORDS account or the Services, and any legal liability related to the information transmitted by the user shall be borne by the user and CNKEYWORDS assumes no liability or responsibility therefor. If any damage therefrom is caused to the CNKEYWORDS or a third party, the user shall compensate according to law.

5-4. The services provided by the CNKEYWORDS may include advertisements. Users agree to display advertisements provided by the CNKEYWORDS and third-party suppliers and partners during use. Unless explicitly provided by laws and regulations, users shall be solely responsible for the transaction based on the advertising information, and the CNKEYWORDS shall not bear any liability for the loss or damage suffered by users due to the transaction based on the advertising information or the content provided by the aforementioned advertisers.

6. Account Management

6-1. The ownership of the CNKEYWORDS account belongs to the CNKEYWORDS. The user will obtain the right to use the CNKEYWORDS account after completing the registration procedures, and this right only belongs to the initial registrant. At the same time, the initial registrant shall not grant, borrow, rent, transfer or sell the right of use. The CNKEYWORDS of GTCOM has the right to recall the user's CNKEYWORDS account due to reasonable business needs such as product maintenance, safety control and daily operation.

6-2. The user is responsible for properly keeping the CNKEYWORDS account information and password. If the user fails to keep them properly, he/she may suffer from the theft of the account or password, the responsibilities therefrom shall be borne by the user solely. The user shall bear legal responsibility for the behavior under the CNKEYWORDS account and password. The user agrees not to use another user's account or password under any circumstances. If a user suspects that her/his account and password are used by others, the user agrees to notify the CNKEYWORDS immediately.

6-3．The user shall abide by the terms of this Agreement and use the Services correctly and appropriately. In case the user violates any terms of this Agreement, the CNKEYWORDS has the right to suspend or terminate the Services provided to the defaulting user's CNKEYWORDS account after notifying the user. At the same time, the CNKEYWORDS reserves the right to withdraw the CNKEYWORDS account and user name at any time.

7. Data Storage

7-1 The CNKEYWORDS is not responsible for the users’ failure to delete or store related data in the Services.>

7-2. The CNKEYWORDS may decide on its own the maximum storage period of the users’ data in the Services as appropriate, and allocate the maximum storage space for the data on the server. Users can back up the relevant data in the Services according to their own needs.

7-3. If the user stops using the Services or the Services is terminated, the CNKEYWORDS can permanently delete the user's data from the server. After the Services is stopped and terminated, the CNKEYWORDS is not obligated to return any data to the user.

7-4. The relevant data in the Services mentioned in this section does not include personal information. If personal information is involved, the CNKEYWORDS will store and process the data in accordance with the CNKEYWORDS Privacy Policy.

8. Risk Liabilities

8-1. The user understands and agrees that the CNKEYWORDS reserves the right to unilaterally change, suspend, terminate, or revoke all or part of the content of the Services due to business development needs, and the user shall bear this risk.

8-2. If the user finds that anyone has violated this Agreement or used the Services in other improper ways, please report or complain to the CNKEYWORDS immediately, and the CNKEYWORDS will handle it in accordance with this Agreement.

9. Statement on Intellectual Property Rights

9-1. Unless otherwise specified, the copyright, patent right and other intellectual property rights of the software on which the CNKEYWORDS provides the Services shall belong to the CNKEYWORDS. Without the permission of the Company, no one may use (including but not limited to monitoring, copying, disseminating, displaying, mirroring, uploading, or downloading through any program or equipment such as robots and crawlers) the content in the CNKEYWORDS and the Services or create related derivative works without authorization.

9-2. The copyrights or trademarks of the CNKEYWORDS' graphics, text or their combinations involved in the Services, as well as other CNKEYWORDS logos, product and service names (hereinafter collectively referred to as the “CNKEYWORDS identifiers"), shall belong to the CNKEYWORDS. Without the prior written consent of the CNKEYWORDS, users shall not display or use or otherwise process the CNKEYWORDS identifiers in any way, nor shall they indicate to others that users are entitled to display, use, or otherwise process the CNKEYWORDS identifiers.

9-3. The aforementioned and any other intellectual property rights owned by the CNKEYWORDS or related advertisers in accordance with the law are protected by law. Without written permission from the CNKEYWORDS or related advertisers, users are not allowed to use or create related derivative works in any form.

9-4. The user knows, understands and agrees that, in order to continuously improve and provide users with better services, for the content (including but not limited to text, pictures, images, audio, video and/or music, sound, dialogue, etc. in the audio) uploaded, published, transmitted or disseminated by the user through the CNKEYWORDS and the Services, the user will authorize the Company and its affiliates, controlling companies, and successor companies a global, royalty-free, non-exclusive right (including but not limited to copy rights, the right of communication through information network, and right of compilation), the scope of which shall include but is not limited to existing or other inherited websites, applications and products.

X. Legal Liabilities

10-1. If the CNKEYWORDS finds or receives reports or complaints from others that the user has violated this Agreement, the CNKEYWORDS has the right to review and delete relevant content, including but not limited to the user data, at any time without notice, and impose penalties including but not limited to warning, and disabling the account, device or function on the defaulting account according to the seriousness of the case, and notify the user of the processing results.

10-2. The user understands and agrees that the CNKEYWORDS shall have the right to punish the violations of relevant laws and regulations or the provisions of this Agreement based on reasonable judgment, take appropriate legal actions against any user who breaks the laws and regulations, and keep relevant information and report to the relevant departments in accordance with laws and regulations, etc. The user shall bear all the legal responsibilities arising therefrom.

10-3. The user understands and agrees that the user shall compensate the CNKEYWORDS and its partners and affiliates for any claims, demands or losses claimed by any third party caused or generated by the user in violation of this Agreement, including reasonable attorney fees, and shall protect them from damages.

XI. Force Majeure and Other Liability Exemptions

11-1. The user understands and acknowledges that the Services may be interrupted due to risk factors such as force majeure in the process of using the Services. Force majeure means unforeseen and inevitable objective events that cannot be overcome and have a significant impact on either Party or the Parties, including but not limited to natural disasters such as flood, earthquake, plague epidemic and storm as well as social events such as war, turmoil and government behaviors. Once the above situation occurs, the CNKEYWORDS team will make efforts to cooperate with the relevant entities in the first time and make repair in a timely manner. However, the CNKEYWORDS and its partners will be exempted from the liability within the scope permitted by law for the losses caused to users or third parties.

11-2. The Services, like most Internet services, may be affected by differences in factors including but not limited to user reasons, network service quality and social environment, and may be harassed by various security issues, such as the use of user data by others that causes harassment in real life; other software downloaded and installed or other websites visited by users may contain viruses such as Trojan Horse, which threaten the security of users' computer information and data, and then affect the normal use of the Services. Users should strengthen their awareness of information security and the protection of user data, and should pay attention to strengthening password protection to avoid loss and harassment.

11-3. The user understands and acknowledges that the Services may have the risk of service interruption or failure to meet user’s requirements due to force majeure, computer viruses or hacker attacks, system instability, user location, user shutdown, and any other technology, Internet, communication line reasons, the CNKEYWORDS does not assume any responsibility for any loss of the user or the third parties.

11-4. The user understands and acknowledges that there may be misleading, deceptive, threatening, defamatory, offensive or illegal information from any other person, or anonymous or fake information that infringes upon the rights of others, and the behaviors associated with such information in the process of using the Services, the CNKEYWORDS does not assume any responsibility for any loss of users or third parties caused therefrom.

11-5. The user understands and acknowledges that the CNKEYWORDS or relevant equipment may be troubleshot or maintained by the CNKEYWORDS on a regular or irregular basis. If such circumstances cause service interruption within a reasonable period of time, the CNKEYWORDS will not bear any responsibility for this, but the CNKEYWORDS shall notify the user in advance.

11-6. The CNKEYWORDS shall be given the right to deal with illegal or breached content in accordance with laws and regulations and this Agreement. This right does not constitute an obligation or commitment of the CNKEYWORDS, and the CNKEYWORDS cannot guarantee that it will promptly detect violations of laws or regulations or breach of contract or deal with it accordingly.

11-7. In no case should the CNKEYWORDS be responsible for any indirect, consequential, punitive, incidental, specific, or punitive damage, including any loss of profit attributable to the user's use of the Services (even if the CNKEYWORDS has been informed of the possibility of such loss). Notwithstanding certain contradictory provisions in this Agreement, the total liability for the CNKEYWORDS to the user, regardless of the cause or behavior, shall be always no more than the fee (if any) paid to the CNKEYWORDS by the user for using the Services provided by the CNKEYWORDS.

11-8. The CNKEYWORDS may provide links to third-party websites or resources, but the CNKEYWORDS does not guarantee the authenticity of the content, advertisements, services, and product information on the linked websites and does not assume any responsibility.

XII. Change, Suspension and Termination of the Services

12-1. In view of the specific nature of network services, the user agrees that the CNKEYWORDS has the right to change, suspend or terminate part or all of the Services (including paid services) at any time. For any services to be changed, suspended or terminated by the CNKEYWORDS, the CNKEYWORDS shall inform users by way of platform announcement or notice before such change, suspend or termination.

12-2. The CNKEYWORDS is entitled to change, interrupt, or terminate the free or paid services provided to the user without any liability to the user or any third party if any of the following occurs:

(1) The user should submit real information according to the law. However, the personal information provided by the user is not true or inconsistent with the information at the time of registration and fails to provide reasonable proof;

(2) The user violates relevant laws and regulations or provisions of this Agreement;

(3) It is prescribed by law or required by the competent authority;

(4) For security reasons or under other necessary situations.

XIII. Miscellaneous

13-1. The CNKEYWORDS hereby reminds users to pay attention to the clauses in this Agreement that exempt the CNKEYWORDS from liability and limit user’s rights. Please read them carefully and consider risks independently.

13-2. GTCOM reserves the right to interpret and amend the above clauses. The validity, interpretation and dispute settlement of this Agreement shall be governed by the laws of the People's Republic of China. Any dispute or controversy between the user and the CNKEYWORDS shall be first settled through friendly consultation. If failed, the user agrees to submit the dispute or controversy to the people's court with jurisdiction in the place where the CNKEYWORDS is located.

13-3. Where any term hereof is, for any reason whatsoever, invalid or unenforceable, the remaining terms hereof shall remain valid and binding upon the Parties.

13-4. In order to provide users with better services or if there’s any adjustment to national laws, regulations and policies, the CNKEYWORDS and related services will be updated and modified from time to time. We will timely revise this Agreement, which shall form a part of this Agreement. After this Agreement is updated, we will issue an updated version on the CNKEYWORDS, and announce through the official website (cnkeywords.net) before the updated terms take effect, so that users can keep abreast of the latest version of this Agreement, and users can also check the latest version of the agreement terms on the website page. If users continue to use the CNKEYWORDS and related services, they agree to accept the content of this revised agreement.

13-5. If users disagree with the revised agreement terms, they should immediately stop logging in or using the CNKEYWORDS and related services. If users continue to log in or use the CNKEYWORDS and related services, it is deemed that users have acknowledged and accepted the revised agreement.

13-6. The terms set out in this Agreement cannot fully cover all the rights and obligations of GTCOM and users. The privacy policy, declaration and rules published by the CNKEYWORDS shall be deemed as a supplement to this Agreement, and shall be an integral part of this Agreement, and shall have the same legal effect as this Agreement.
